as at August 15/94 - GG TELECOMMUNITIES CANADA FOUNDING
MEETING PROCEDURES: NOMINATIONS FOR BOARD OF DIRECTORS,
RECOMMENDATIONS, AND VOTING We will operate under the
proposed Telecommunities Canada by-laws. To make this work,
we need an interim Board of Directors in place before the
August 17 meeting begins. Anyone interested and qualified to
serve as a director should pass their name to the nominating
committee as follows: Nominations / Recommendations Committee
- Lisa K. Donnelly, NCF Interim Director of Ops
(am412@freenet.carleton.ca) - Gordon Pearson, NCF Director of
Development (au167@freenet.carleton.ca) We'll identify Lisa
Donnelly and Gordon Pearson during the opening ceremonies and
call for nominations. As per the by-laws, the details of who
qualifies are as follows: 8. The property and business of the
corporation shall be managed by a board of a minimum of seven
(7) directors to a maximum of fifteen (15) directors of whom
four (4) shall constitute a quorum. Directors must be
individuals, 18 years of age, with power under law to
contract. *DIRECTORS MUST BE MEMBERS.* 2. Membership in the
corporation shall be limited to members of incorporated
Canadian freenet organizations, three to be appointed by each
individual board. (PLEASE NOTE: the word "freenet" is used as
a generic term. We've encouraged participation by any form of
community network utilizing electronic public space for the
purposes of community development) 17. The board of directors
may appoint an Executive Committee for such purposes and with
all such powers as the board of directors may determine from
time to time. Also anyone or any group with a concern that
they feel should emerge on the TC agenda should pass a
written recommendation to Lisa Donnelly or Gordon Pearson.
During the final Plenary session of the conference, August
16th, the Nominating committee will report, and nominations
will close. If we have less than 15 nominations, we'll have a
motion of acclamation the following day. If we have more than
15, we'll have an election on the 16th. The new Board will
hold a meeting Tuesday evening, August 16, to appoint an
executive committee and to plan the agenda for the next day.
Here is the list of people who have been designated by their
associations to represent them and vote at TC. All votes will
be conducted by means of showing a voting card obtainable
from Garth Graham. If you are not on this list and you think
you should be, please see Garth. Blue Sky Freenet of Manitoba
